Jonathan M. Boutin
Jonathan M. Boutin focuses his practice in the areas of business law, commercial litigation and general counsel to corporations, land use and development law, insurance coverage, municipal law, and appellate practice. Prior to attending law school, he held positions with Fidelity Investments and General Dynamics/GTE Government Systems.
Mr. Boutin has experience in nearly all aspects of litigation involving complex environmental, construction, municipal/zoning, probate and employment claims. He regularly represents clients in proceedings and trials in the New Hampshire and Massachusetts state and federal courts, as well as before various administrative agencies. He has also worked on appeals to the New Hampshire Supreme Court and to the First Circuit.
In addition to his litigation and appellate practice, Mr. Boutin acts as general counsel to his business clients. He advises small to medium sized businesses on a broad range of corporate matters, including formation, governance and regulatory compliance. He assists clients navigate each stage of the corporate life cycle from financing through acquisition and development to positioning the company for sale. He has extensive experience preparing and negotiating loan closing documents, including opinion letters, credit agreements, security agreements, promissory notes, subordination agreements, UCCs and guarantees. He also has experience drafting and negotiating letters of intent, purchase and sale agreements, easement agreements, leases, mortgages, and licensing agreements.
Mr. Boutin regularly counsels his business clients on a wide range of employment issues, including hiring, employee discipline, workplace discrimination, termination, non-compete/non-solicitation/non-disclosure agreements, as well as compliance with state and federal laws. He also works with his clients to design and implement workplace policies, and to develop employment agreements, severance packages, separation agreements and employee handbooks.
Mr. Boutin also handles land use and planning and zoning matters and appeals on behalf of individuals, businesses and municipalities, including special exception and variance requests, tax abatements, site plan and subdivision review and approval, ordinance waivers, code enforcement actions and state and local permitting issues.

Represented a national recycling center based in New Hampshire in refinancing an existing industrial property valued in excess of $6 million.
Assisted clients in negotiating the terms of a $2.6 million loan to purchase and re-develop an existing commercial property into a new entertainment complex.
Represented a real estate developer in the purchase and financing of a $2 million office building and the subsequent conversion of the property into commercial condominiums.
